1. Applicability

These Terms of Service ("Terms") govern your access to and use of the SALESCFG platform, including the website, dashboard, API, embeddable configurator widgets, AI features, and all paid plans (collectively the "Service"), provided by Service Rata Oy ("SALESCFG", "we", "us", or "our").

The Service is targeted at businesses, legal entities, and organizations β€” not consumers. By registering an account or otherwise using the Service, the customer ("Customer", "you") concludes a binding agreement governed by these Terms and our Data Processing Agreement.

The details of your subscription term, plan, features, and fees can be found within the Service by logging into your account.

3. Description of the Service

SALESCFG is a software-as-a-service (SaaS) visual product configurator platform. It enables Customers to create configurable products with categories, options, rules, and pricing, embed configurators on external websites or host them on SALESCFG pages, capture and manage quote requests, generate documents, and analyze visitor activity.

Key capabilities include: visual configurator builder with categories, options, attributes, rules, and incompatibilities; embeddable configurators with public keys, domain allowlists, and preview support; quote creation, email delivery, and status tracking; distributor-specific price lists with versioning; subscription billing and add-on capacity upgrades; team management with role-based access per configurator; file uploads and branded document generation; analytics and visitor tracking; and AI-powered configuration assistants.

4. Contracts Concluded Through the Service

Any contract concluded through a Customer's configurator is concluded directly between the Customer and its end-user. SALESCFG is not a party to such contracts. The Customer is the seller of record and solely responsible for fulfilling all contractual obligations toward its own clients.

5. Changes to Service and These Terms

SALESCFG develops the Service continuously and retains the right to modify these Terms and the Service. We notify Customers of significant changes by email, in-app notification, or by publishing updated Terms on our website. Changes to pricing or significant feature changes will be notified at least one (1) month in advance.

By continuing to use the Service after a change takes effect, you accept the updated Terms. If you do not accept the changes, you must terminate your agreement by written notice before the changes become effective.

6. License and Use of the Service

Subject to these Terms, SALESCFG grants the Customer a limited, non-exclusive, non-transferable license to use the Service for the Customer's internal business purposes during the subscription term.

The use of the Service may be subject to technical and other restrictions, such as the maximum number of configurator variants, included features per plan, or API rate limits. The applicable restrictions are defined by your subscription plan.

7. Customer Obligations

The Customer agrees to:

  • Be solely responsible for the configurators, products, services, and content it creates within the Service and the business relationships with its own clients.
  • Comply with these Terms, applicable laws, and good business practice when using the Service.
  • Not use the Service for fraudulent, criminal, or illegal activities.
  • Comply with applicable data protection laws when processing personal data of its own clients.
  • Include accurate, correct, and truthful information for products and services promoted through the Service.
  • Not use the Service for storing, collecting, or processing sensitive data (including personal identity numbers), as the Service is not designed for such purposes.
  • Maintain appropriate sales terms and a privacy policy as required by applicable laws.
  • Fulfill contractual obligations when concluding contracts with clients through the Service.
  • Keep accurate records of transactions as required by applicable accounting and tax laws.
8. Prohibited Conduct

A Customer and its users must not:

  • Use or attempt to use another user's account without authorization.
  • Copy, modify, or create derivative works of the Service, its content, or underlying technology.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
  • Remove any intellectual property notices from the Service.
  • Create a user account using another person's data or false information.
  • Transfer an account to another party without SALESCFG's prior written consent.
  • Sell, resell, or sublicense access to the Service to a third party without SALESCFG's prior written consent.
9. Registration and User Accounts

Use of the Service requires registration. The number of users and included features depend on your subscription plan. The Customer is responsible for providing accurate and truthful information and keeping it up to date.

Login and password details are personal. The Customer must ensure that its users maintain credentials securely and never share them. If you believe credentials have been compromised, inform SALESCFG without delay. We may delete or limit user access if we reasonably believe account security is compromised or a user violates these Terms.

10. Analytics

The Service provides an optional analytics tool that uses cookies to collect visitor data such as product views, configurations, and checkout activity. This feature is activated by default; the Customer must opt out if it does not wish to use it.

The Customer is responsible for ensuring compliance with applicable privacy and cookie laws when using the analytics feature, including obtaining visitor consents, implementing a cookie management tool, and publishing a cookies policy. By continuing to use the feature, the Customer accepts all associated responsibilities.

11. Fees and Payment

With the exception of free trials, the Customer's use of the Service is subject to payment of applicable fees. Subscription fees may be monthly or annual. Monthly plans renew each month; annual plans renew each year, unless cancelled before the next renewal.

SALESCFG is entitled to update its fees by providing at least one (1) month's advance notice. Continued use after the fee change indicates acceptance. If you do not accept the new fee, you may terminate your agreement.

Unless otherwise stated, value added taxes (VAT) are not included and shall be added in accordance with applicable laws. All payments are processed through Stripe, our secure third-party payment gateway. The payment term is fourteen (14) days from invoice date. Late payment interest shall be charged at the rate specified in the Finnish Interest Act (Korkolaki 633/1982), currently the reference rate set by the European Central Bank plus eight (8) percentage points for commercial transactions.

All purchased plans and add-ons are non-transferable and non-refundable. The Customer will not receive any repayment for unused portions of a billing period.

12. Add-ons and Capacity

The Service offers add-on features that can be purchased separately, including additional configurator variants, AI Agents, Document Generator, and user templates. Add-on availability, pricing, and unit sizes are described on the pricing page and within the Service.

Add-on subscriptions follow the same billing cycle and renewal terms as the base subscription unless otherwise stated.

13. Confidentiality

Neither party shall disclose confidential information received from the other party, except as necessary to perform obligations under the agreement. Each party shall limit access to confidential information to employees or subcontractors directly involved in delivering or using the Service. These confidentiality obligations remain valid for five (5) years after termination of the agreement.

14. Data Security, Personal Data, and Privacy

SALESCFG aims to ensure data security at an industry-standard level. Protecting the privacy of Customers, users, and all personal data processed in the Service is important to us.

As a data controller, SALESCFG collects and uses personal data in accordance with its Privacy Policy. Where SALESCFG acts as a data processor on behalf of a Customer, the SALESCFG Data Processing Agreement applies and is an integral part of the agreement.

15. Customer Content and Intellectual Property

Intellectual property rights in content entered or created by the Customer in the Service remain with the Customer. However, SALESCFG has the right to use Customer content for providing and developing the Service and for reasonable business purposes such as aggregated, statistical, and anonymized analytics.

The Service itself, including all modifications, updates, and bug fixes, is protected by copyright and other intellectual property laws and remains the exclusive property of SALESCFG or its licensors. No intellectual property rights are transferred to the Customer; only a limited license is granted.

16. AI Services

This section applies to all features of the Service that utilize artificial intelligence or machine learning technologies, including AI-powered configuration assistants and client-specific AI agents (collectively "AI Services"). AI Services are available as an add-on or included in certain plans.

16.1 AI Output and Ownership

"AI Output" means responses, suggestions, recommendations, or other content generated by the AI Services from the Customer's use. As between the parties, the Customer owns the AI Output, subject to the rights granted to SALESCFG in these Terms.

SALESCFG may use anonymized and aggregated data derived from AI Output ("AI Improvement Data") to improve and optimize the Service, including training AI models. SALESCFG exclusively owns AI Improvement Data.

16.2 Client-Specific AI Agents

Customers on eligible plans or with the AI Agents add-on may configure client-specific AI agents for their configurators. These agents may use a custom system prompt, connect to an external agent endpoint provided by the Customer, or use SALESCFG's default AI provider.

When a Customer connects an external AI agent endpoint, the Customer is solely responsible for the security, availability, accuracy, and compliance of that external service. SALESCFG acts only as a pass-through and assumes no liability for responses generated by external agents.

16.3 AI Disclaimer

AI SERVICES AND AI OUTPUT ARE PROVIDED ON AN "AS IS" BASIS. SALESCFG MAKES NO WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR SUITABILITY OF AI OUTPUT FOR ANY PURPOSE. THE CUSTOMER IS RESPONSIBLE FOR REVIEWING AND EVALUATING ALL AI OUTPUT (INCLUDING THROUGH HUMAN REVIEW) FOR ACCURACY AND SUITABILITY.

SALESCFG does not provide legal, financial, or professional advice through AI Services. AI Output may not be unique and the AI Services may generate similar output for different customers. SALESCFG shall not be liable for AI Output or any decisions made based on it.

The Customer may opt out of AI Services at any time by deactivating AI features for its configurators.

17. Third-Party Services

Third-party services or applications may be included or integrated in the Service, such as Stripe for payment processing and Resend for email delivery. These are provided under their own terms of service. SALESCFG does not warrant third-party services and is not responsible for their function, defects, or availability.

If a third-party provider changes its pricing, SALESCFG may update its prices accordingly. Upon termination of the agreement, SALESCFG may invoice for third-party costs that could not be cancelled prior to termination.

18. Warranties and Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. While SALESCFG uses great care in developing and maintaining the Service, we cannot warrant that it will operate error-free or be fit for any specific purpose. The Customer uses the Service at its own risk.

Use of the Service requires a browser, internet connection, and a suitable device. SALESCFG does not guarantee compatibility with all devices, browsers, and operating environments.

19. Limitation of Liability

SALESCFG's aggregate cumulative maximum liability arising out of or relating to these Terms shall not exceed the total fees paid by the Customer for use of the Service within the three (3) month period prior to the first claim.

Any claim for damages must be made within three (3) months after the Customer became aware of the cause for the claim.

SALESCFG is not liable for any indirect, special, consequential, or punitive damages, including loss of revenue or profit, business losses, business interruptions, or loss of data. SALESCFG is not responsible for claims by or damages suffered by third parties.

20. Intellectual Property Indemnification

SALESCFG shall defend the Customer against claims that the Service infringes a valid third-party patent or copyright in Finland, and indemnify for any final judgment, provided the Customer notifies SALESCFG promptly, permits SALESCFG to handle the defense, and provides reasonable assistance.

SALESCFG has no obligation for claims based on Customer content, or the combination of the Service with products or data not supplied by SALESCFG. If infringement occurs, SALESCFG may obtain continued usage rights, modify the Service to be non-infringing, or terminate and provide a reasonable pro-rata refund.

21. Maintenance and Availability

SALESCFG performs regular development and maintenance work. We may temporarily restrict access to the Service for maintenance purposes and aim to schedule interruptions to minimize impact. SALESCFG is not responsible for damages caused by service interruptions. Backup copies are made and data is retained in accordance with our standard IT and data retention policies.

22. Term and Termination

Subscriptions renew automatically for the same period unless either party terminates before the new period begins. Either party may also terminate by providing at least one (1) month's written notice.

SALESCFG may terminate the agreement with immediate effect if: (1) the Customer fails to pay applicable fees; (2) the Customer becomes insolvent or bankrupt; (3) the Customer uses the Service in violation of these Terms or applicable laws; (4) the Customer's account has remained inactive for a substantial period; or (5) the Customer uses a free tier that SALESCFG discontinues.

Upon termination, the right to use the Service ends. SALESCFG will make Customer data available for export for thirty (30) days after termination. After this period, Customer data may be permanently deleted. Terms that by their nature are intended to survive termination shall survive, including confidentiality, limitation of liability, and intellectual property provisions.

23. Applicable Law and Dispute Resolution

These Terms and the use of the Service are governed by the laws of Finland, without regard to its conflict of laws rules.

Any dispute will first be resolved by amicable settlement. Failing settlement within thirty (30) days, the dispute will be finally settled by arbitration in accordance with the Arbitration Rules of the Finnish Central Chamber of Commerce by one (1) sole arbitrator. The arbitration shall be held in Helsinki, Finland, in English. The parties agree to keep all arbitration proceedings and awards confidential.

24. Force Majeure

SALESCFG shall not be liable for any failure or delay caused by events beyond its reasonable control, including but not limited to natural disasters, war, terrorism, epidemics, governmental action, power or network failures, or acts of third-party service providers.

25. Assignment and Subcontracting

SALESCFG may employ subcontractors to fulfill its obligations and is liable for their acts as for its own. Neither party may assign the agreement without the other party's prior written consent, except in connection with a merger, sale of business, or similar transaction.

26. Entire Agreement

These Terms, together with any applicable order, the Privacy Policy, the Data Processing Agreement, and the Cookie Policy, contain the entire agreement between the parties and supersede all prior communications and agreements relating to the subject matter.
